4. Intellectual Property Rights

All content available on or through the Website, including but not limited to text, graphics, logos, icons, photographs, images, audio clips, video clips, digital downloads, data compilations, software, and the overall look and feel of the Website, is the exclusive property of Punch Pizza or its content suppliers and is protected by applicable United States and international intellectual property laws, including copyright law (17 U.S.C. § 101 et seq.), trademark law, and trade dress law.

The Punch Pizza name, logo, trade name, and all related marks, designs, and slogans are trademarks or service marks of Punch Pizza. Nothing in these Terms grants you any right to use any of our trademarks, service marks, trade names, logos, domain names, or other distinctive brand features without our prior express written consent. Unauthorized use of any of our trademarks or service marks is strictly prohibited and may constitute trademark infringement under the Lanham Act, 15 U.S.C. § 1051 et seq.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website solely for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to: (a) resell or commercially exploit the Website or its content; (b) make any derivative use of the Website or its content; (c) download or copy content for the benefit of another merchant; or (d) use any data mining, robots, or similar data gathering and extraction tools.

If you believe that any content on the Website infringes upon your intellectual property rights, please contact us at [email protected] with a detailed description of the alleged infringement, and we will investigate your claim in accordance with applicable law, including the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.

5. Payment Terms

Where Punch Pizza offers the ability to place orders, make reservations, or purchase goods or services directly through the Website, the following payment terms apply:

5.1 Pricing and Fees

All prices displayed on the Website are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable sales taxes, service fees, or delivery charges unless expressly stated. Applicable state and local sales taxes will be calculated at checkout based on the delivery address or point of sale location.

5.2 Payment Methods

We accept payment via major credit cards, debit cards, and other electronic payment methods as displayed at the time of checkout. By providing payment information, you represent and warrant that: (a) you are authorized to use the designated payment method; (b) your payment information is accurate and complete; and (c) you authorize us to charge the designated payment method for the total amount of your order including taxes and applicable fees.

5.3 Order Confirmation and Accuracy

Receipt of an order confirmation does not constitute acceptance of your order. We reserve the right to refuse, cancel, or limit any order for any reason, including product availability, errors in pricing or product descriptions, or suspicion of fraudulent activity. In the event of a pricing error, we will notify you promptly and offer you the option to proceed at the correct price or cancel your order.

5.4 Refunds and Cancellations

Refund and cancellation policies for food orders are subject to our operational guidelines and applicable consumer protection laws. Please contact us directly at [email protected] for assistance with any order-related issues. We comply with applicable FTC guidelines regarding refunds and consumer rights.

6. Disclaimers and "As-Is" Basis

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL CONTENT, SERVICES, AND INFORMATION PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

PUNCH PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE WEBSITE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INCLUDING MENU INFORMATION, PRICING, AND NUTRITIONAL DATA;
  • WARRANTIES THAT ANY DEFECTS IN THE WEBSITE WILL BE CORRECTED;
  • WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM USING THE WEBSITE.

Nutritional, allergen, and ingredient information provided on the Website is offered for general informational purposes only and may not reflect real-time changes to recipes, sourcing, or preparation methods. Individuals with food allergies, dietary restrictions, or medical conditions should contact our restaurant directly before consuming any of our products. Punch Pizza does not warrant that any food product is free from allergens or suitable for any particular dietary requirement.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL PUNCH PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, goodwill, or business opportunities;
  • Cost of substitute goods or services;
  • Damages resulting from your inability to access or use the Website;
  • Damages resulting from unauthorized access to or alteration of your transmissions or data;
  • Damages arising from the conduct of third parties on or through the Website;
  • Any other damages arising out of or in connection with your use of the Website.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT PAID BY YOU TO PUNCH PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Punch Pizza and you. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you. Nothing in these Terms shall limit liability for death, personal injury, fraud, or any other liability that cannot be excluded or limited under applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Punch Pizza and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, subcontractors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation;
  • Your use of the Website or its services;
  • Any content or information you submit, post, or transmit through the Website;
  • Your violation of any third party's rights, including intellectual property rights, privacy rights, or contractual rights;
  • Any misrepresentation made by you in connection with your use of the Website;
  • Any dispute between you and any third party arising from or related to your use of the Website.

Punch Pizza reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim. You must not settle any claim without Punch Pizza's prior written consent.

9. Third-Party Links and Services

The Website may contain links to third-party websites, applications, platforms, or services that are not owned or controlled by Punch Pizza, including but not limited to food delivery platforms, mapping services, social media platforms, and payment processors. These links are provided for your convenience only.

Punch Pizza has no control over and assumes no responsibility for the content, privacy policies, terms of service, or practices of any third-party websites or services. We do not endorse or make any representations about third-party websites or services. Your use of any third-party website or service is governed by that party's own terms and conditions and privacy policy. We encourage you to review the terms and privacy policies of any third-party website or service you visit.

Punch Pizza shall not be liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites or services.

10. Privacy Policy

Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, share, and protect your personal information in accordance with applicable United States privacy laws, including the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), Cal. Civ. Code § 1798.100 et seq., where applicable to California residents, and the FTC Act's consumer protection provisions. Please review our Privacy Policy carefully before using the Website.

11. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to these Terms or your use of the Website shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Punch Pizza is registered and principally operates, without regard to conflicts of law principles that would require the application of the laws of a different jurisdiction.

Subject to the dispute resolution provisions set forth in Section 12 below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Website that is not subject to arbitration shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States, and you irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such action in such courts.

You acknowledge that the Website is operated from the United States and is intended primarily for users located in the United States. If you access the Website from outside the United States, you do so at your own risk and are responsible for compliance with local laws of your jurisdiction.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Punch Pizza at [email protected] and provide a written description of your dispute, the relief you seek, and your contact information. The parties agree to attempt in good faith to resolve the dispute informally within thirty (30) days of receipt of the written notice. If the dispute is not resolved within that time period, either party may proceed to formal dispute resolution as described below.

12.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR YOUR USE OF OUR SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT.

The arbitration shall be conducted in the English language. The arbitrator shall have the authority to award any relief that would be available in a court of law. The arbitrator's decision shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND PUNCH PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Punch Pizza agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

12.4 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes that qualify under such court's jurisdictional requirements. Additionally, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights or unauthorized access to systems, without first engaging in informal dispute resolution or arbitration.

12.5 Jury Trial Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PUNCH PIZZA EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE.

13. Term and Termination

These Terms are effective beginning on the date you first access or use the Website and shall remain in full force and effect for as long as you continue to access or use the Website, unless terminated earlier in accordance with these Terms.

Punch Pizza reserves the right, in its sole discretion, to terminate or suspend your access to the Website at any time, with or without cause, and with or without notice, including but not limited to if we believe you have violated these Terms or any applicable law. Upon termination, all licenses and rights granted to you under these Terms shall immediately cease.

You may discontinue your use of the Website at any time. If you have an account or active orders, you may contact us at [email protected] to request account closure or order cancellation, subject to our refund and cancellation policies.

The following provisions shall survive termination of these Terms: Intellectual Property Rights (Section 4), Disclaimers (Section 6), Limitation of Liability (Section 7), Indemnification (Section 8), Governing Law and Jurisdiction (Section 11), Dispute Resolution (Section 12), and any other provisions that by their nature should survive termination.

14. Changes to Terms

Punch Pizza reserves the right to modify, update, or revise these Terms at any time in its sole discretion. We will provide notice of material changes by updating the "Last Updated" date at the top of this page. In some cases, we may provide additional notice of significant changes, such as by posting a prominent notice on the Website or by sending an email notification where we have your contact information.

It is your responsibility to review these Terms periodically to stay informed of any updates. Your continued use of the Website following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue your use of the Website immediately.

We encourage you to bookmark this page and check it regularly, particularly before making any purchases or submitting any information through the Website.

15. Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, void, or unenforceable for any reason, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the remaining provisions of these Terms, which shall continue in full force and effect as if the invalid provision had never been included.

The parties agree that the remaining provisions shall be construed to give effect to the original intent of the parties to the maximum extent legally possible, and that the overall balance of rights and obligations established by these Terms shall be preserved to the greatest extent practicable.

16. Entire Agreement and Waiver

These Terms, together with our Privacy Policy and any other legal notices or policies published by Punch Pizza on the Website, constitute the entire agreement between you and Punch Pizza with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, warranties, negotiations, understandings, and communications, whether oral or written, between the parties relating to such subject matter.

No waiver of any provision of these Terms by Punch Pizza shall be deemed a further or continuing waiver of such provision or any other provision. Punch Pizza's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Punch Pizza to be effective.

17. Electronic Communications and Consent

By using the Website or communicating with us electronically, you consent to receive electronic communications from Punch Pizza. You agree that all notices, agreements, disclosures, or other communications we provide to you electronically, by email, or by posting on the Website satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.

Electronic records relating to these Terms and your use of the Website may be stored and maintained by Punch Pizza in accordance with our document retention policies and applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq.

18. Force Majeure

Punch Pizza shall not be liable for any delay or failure to perform its obligations under these Terms or through the Website arising from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic events, war, terrorism, civil unrest, strikes or labor disputes, governmental actions, power outages, internet or telecommunications failures, cyberattacks, or any other events constituting force majeure under applicable law.

In the event of a force majeure occurrence, Punch Pizza will use commercially reasonable efforts to resume normal operations as promptly as practicable and will communicate any significant disruptions to users through the Website or other available channels.

19. Accessibility

Punch Pizza is committed to ensuring that our Website is accessible to all users, including those with disabilities, in accordance with the Americans with Disabilities Act (ADA), 42 U.S.C. § 12101 et seq., and the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA, where reasonably practicable. If you experience any difficulty accessing any part of the Website, please contact us at [email protected] and we will make reasonable efforts to provide you with the information or service you need through alternative means.
